Accelerant agreed to go private in a deal with private-equity firm Thoma Bravo worth more than $4 billion. Shares jumped 43% to $19.47 in premarket trading Thursday. The company, which uses data analytics to connect specialty insurance underwriters with risk capital partners, said it has formed a special independent committee to review the transaction, which it unanimously recommended to the board. The deal is expected to close in the first half of 2027.

If the closing is delayed, shareholders will receive a ticking fee accruing at a rate of 6% per year for a period specified in the agreement. Entities affiliated with Altamont Capital Partners, which owns shares representing about 82% of Accelerant's voting rights, have agreed to vote their shares in favor of the transaction, the company said.
